Thompson Trucking, Inc. is the leading industrial logistics solutions provider for aggregates companies, industrial recyclers, waste collection and disposal companies and municipalities in the Virginia and northern North Carolina region. The Company hauls a diverse group of commodities, including aggregates, scrap metal, non-hazardous waste, salt and snow.
Case Study
In 2005, Linx partnered with Rick Thompson and his family in a recapitalization transaction designed to a) provide partial liquidity; b) implement a capital structure catering to the Company’s fleet expansion needs; and c) pursue acquisition and geographic expansion opportunities. The Company was a leader in its Central Virginia territory and had the opportunity to expand into other end markets and geographic regions. During the Linx investment, the Company completed three acquisitions and opened two new facilities, exapnding its market coverage into Northern Virginia, Eastern Virginia and North Carolina. Thompson further diversified its customer base by offering its services to other end markets, including scrap metal, gypsum, salt and snow plowing. Significant investments were made to maintain and expand the Company’s fleet of tractors, dump trucks and trailers. In addition, Thompson increased its use of independent contractors with its largest acquisition which helped the Company transition from an asset based model to a hybrid model.
Several new additions were made to the management team to upgrade the organization, including a CFO, Operations Manager and a dedicated sales person. These new employees along with existing key members of the management team were granted stock options to participate in the equity of the Company.
In 2012, after more than doubling the Company’s revenue, Thompson was sold in a recapitalization transaction to another private equity firm.
